Partner programme terms
These terms are between Vaulex Group Ltd (company 17004770, Vaulex House, Woodland Place, Penarth CF64 2EX – “we”, “us”) and the business that applies to join the programme (“you”). Applying means you accept them. They are written to be read, not to catch anyone out.
1. Joining
The programme is open to businesses – accountancy and bookkeeping practices, and organisations whose customers hold UK companies. We approve applications at our discretion, usually within a working day, and we may decline or end a membership at any time (see 9). You must give accurate details and keep them up to date. Membership is personal to your business and cannot be transferred.
2. Your code and your link
On approval you receive a partner code and a link. A client who types your code on one of our order forms, or who reaches us through your link, is credited to you as set out in 3. The code and link may be used in your own communications with your clients and customers; they may not be sold, passed to a third party, or placed in paid advertising (see 7).
3. What counts as a referral
A referral is a client who (a) types your code on an order form, or (b) places an order within 90 days of first arriving through your link, or (c) names your business when we ask how they heard of us and we attribute them to you – and who then pays for a service. The first partner recorded against a client keeps that client: a client already referred by another partner, or already a client of ours, is not a referral. You, your staff, your household and your own companies are not referrals.
4. The fee
For each referral we pay a one-off fee of £30 (the fee at the time of the client's first payment; we may change it for future referrals on 30 days' notice). One fee per client, whatever they buy and however many services they take later. The fee is earned 14 days after the client's first payment, provided that payment has not been refunded, reversed or disputed; if it has, no fee is due. Where we decline to take a client on (see 6), no fee is due.
5. Statements and payment
On the first day of each month we send you a statement of the fees earned in the previous month. You invoice us for the statement total (adding VAT if you are VAT-registered); we pay by bank transfer within 14 days of receiving a correct invoice. Balances under £50 roll forward to the next statement. An accountancy practice may ask for fees to be credited against its own Vaulex services instead. Fees unclaimed for twelve months after the statement lapse. You are responsible for your own tax on what you receive.
6. Our decisions about clients
We are supervised by HM Revenue & Customs for anti-money-laundering purposes and registered with Companies House as an Authorised Corporate Service Provider. Every client is assessed by us; we decide, in our sole discretion, whether to take a client on, whether an identity can be verified, and whether to continue a service. You have no say in those decisions and must not promise a client any outcome. We will not tell you why a client was declined.
7. How you may promote us
You may tell your clients and customers about our services through the channels you already use with them lawfully – your newsletter, your client emails, your website, your conversations. You must not: send unsolicited marketing to individuals by email, text or messaging app; use purchased lists; bid on “Vaulex” or our brand names in search advertising, or use them in domain names or social handles; present yourself as Vaulex Group, as an agent of ours, or as regulated when you are not; make claims about our services beyond what our website says; or offer any part of the fee to a client as an inducement. We will give you ready-made wording; using it is the safe route.
8. Data protection
Where you pass us a client's details, you confirm the client has agreed to it. From the moment a client contacts us we are the controller of their data under UK GDPR, and our privacy notice applies. We share with you only what you need to see: the fact of a referral, the client's name and the service taken, and the fee. We do not share a client's documents, checks or correspondence with you. Each side keeps the other's confidential information confidential.
9. Ending
Either side may end your membership at any time by email, with 30 days' notice; we may end it immediately for a breach of 6 or 7, for conduct that could harm our regulated status or reputation, or if your business ceases or is sanctioned. Fees already earned are still paid. Your code and link stop working when membership ends.
10. General
This is a referral arrangement, not a partnership, agency, franchise or employment, and neither side may commit the other to anything. Our liability to you under these terms is limited to the fees due to you; we are not liable for any loss of business or profit. We may update these terms on 30 days' notice by email; continuing after that date means you accept the new version. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
